Welcome to Nucleus Core Technologies. These Terms & Conditions ("Terms") govern your access to and use of our digital marketing services, website, and related offerings. By engaging our services or using our website, you agree to be bound by these Terms.

These Terms constitute a legally binding agreement made between you ("Client", "you", or "your") and Nucleus Core Technologies ("Agency", "we", "us", or "our"), an MSME-registered entity (UDYAM-UP-28-0239544).

2. Scope of Services

Nucleus Core Technologies provides full-funnel digital marketing services, which may include but are not limited to:

• Performance Marketing & Media Buying (Meta Ads, Google Ads, Amazon Ads, LinkedIn Ads)
• App Growth & User Acquisition
• Web Design, Landing Page Development, and Conversion Systems
• Creative Studio, Content Strategy, and Email Marketing
• Digital and Growth Strategy Consulting

Statement of Work (SOW): The specific services to be provided, including deliverables, timelines, and precise project scopes, will be explicitly defined and customized for each client in an individual Statement of Work (SOW) or formal service proposal. In the event of a conflict between these general Terms and a customized SOW, the terms of the SOW shall prevail.

3. Payment Terms & Billing Cycles

To maintain uninterrupted service, clients must adhere to the following financial terms:

• Billing Cycles: Services are billed according to the terms outlined in the applicable SOW. This may include 100% advance payments for specific projects, milestone-based payments for development work, or monthly retainer fees for ongoing campaign management.
• Currency: Payments for domestic clients within India will be processed in Indian Rupees (INR). Payments for international clients will be processed in US Dollars (USD) or the agreed-upon local currency as specified in the invoice.
• Due Dates & Penalties: Invoices are due upon receipt unless a specific net-payment term is stated in the SOW. A late fee of 1.0% per month will be applied to all outstanding balances past the due date.
• Suspension of Services: If payment is not received within 7 days of the due date, Nucleus Core Technologies reserves the right to immediately pause all active ad campaigns, suspend services, and withhold deliverables until the account is brought current. The Agency is not liable for any loss of data, leads, or momentum resulting from a payment-related suspension.

4. Client Responsibilities

The Client agrees to provide timely access to necessary resources, including but not limited to ad account permissions, website CMS access, brand assets, and prompt feedback. Delays caused by the Client in providing necessary access or approvals may result in timeline extensions for which the Agency cannot be held responsible.

5. Limitation of Liability & No Guarantees

While Nucleus Core Technologies applies industry best practices, continuous optimization, and data-driven strategies to maximize your business outcomes, marketing inherently involves variables outside of our control.

• Third-Party Platforms: We do not govern the algorithms, policies, or technical stability of third-party platforms (e.g., Google, Meta, Amazon, LinkedIn). We cannot be held liable for account suspensions, ad disapprovals, or sudden changes in algorithmic reach enacted by these platforms.
• No Guarantees: We do not guarantee specific, precise marketing metrics (such as exact revenue figures, guaranteed cost-per-lead, or precise search engine rankings). Past performance is not a guarantee of future results.
• Liability Cap: In no event shall Nucleus Core Technologies be liable for any indirect, consequential, or special damages, including loss of profits or data. Our maximum liability to you for any damages arising out of or related to our services shall not exceed the total amount paid by you to us in the 3 months preceding the event giving rise to the claim.

6. Confidentiality & Intellectual Property

Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. Upon full payment for our services, all final approved creatives and copy delivered to the Client become the Client's intellectual property. However, the Agency retains the right to showcase the completed work in our portfolio, case studies, and marketing materials unless a separate Non-Disclosure Agreement (NDA) states otherwise.

7. Governing Law & Jurisdiction

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Gautam Buddha Nagar, Uttar Pradesh.

8. Amendments to Terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to this website. Continued use of our services following any changes constitutes your acceptance of the revised Terms.
